Howard King is Of Counsel in the Business Transactions group. He represents small and medium-sized corporate clients and financial institutions in a wide variety of matters, with a focus on mergers, acquisitions and divestitures; joint ventures; recourse and non-recourse financing; project financing; private placements and other equity offerings; venture capital and private equity investments; and real estate transactions. Howard regularly advises clients with respect to employment issues, non-competition agreements, drafting and negotiating corporate contracts, shareholder disputes and other general corporate matters.

Howard routinely represents business owners, developers, lenders, borrowers, private investors, entrepreneurs, startups and non-profit organizations. Prior to joining Alexander Ricks in April 2013, he worked as in-house counsel for an international global port terminal operator from 2009 to 2013, where he gained significant experience in the financing and development of complex infrastructure projects in Brazil, Canada, the Dominican Republic, Suriname, Argentina and other jurisdictions. Howard’s in-house experience provided him with the client’s perspective, as well as insight into structuring deals, communicating with business teams and understanding accounting and financial issues.

Notable Engagements:

  • Counsel in connection with an approximately US$786 million project financing that aligned a US$430 million A/B Loan funded by the Inter-American Development Bank, HSBC, Santander, Caixa Geral and WestLB with a R$633.4 million loan provided by the Brazilian Development Bank (BNDES). Project Finance International and Euromoney Project Finance named the Embraport financing as their 2011 Americas Transport Deal of the Year, and International Financial Law Review and Latin Lawyer named Embraport as their Project Financing Deal of the Year for the Americas. 
  • Counsel in connection with negotiating a senior secured credit agreement for a port terminal in Latin America as part of the refinancing an existing project financing facility. 
  • Counsel in connection with an attempted US$180 Million Rule 144A/Reg. S high-yield debut bond offering. Bank of America, Citibank and JP Morgan acted as joint bookrunners.  
  • Counsel in connection with a multi-tranche project financing that was funded by International Finance Corporation. 
  • Counsel in connection with drafting a shareholders agreements and management agreements with joint venture partners in Latin America. 
  • Counsel in connection with drafting an operations agreement and project documents for an expansion project in Vancouver, Canada. 
  • Counsel in connection with drafting a purchase agreement for a multimillion dollar buyout of a joint venture partner. 
  • Counsel in connection with drafting and negotiating numerous customer contracts, software agreements, service agreements, employee agreements and independent contractor agreements.  
  • Counsel in connection with drafting memorandums of understanding, term sheets, letters of intent, and other non-binding agreements. 


Howard received his B.A. from Louisiana State University in 2004 and his J.D. from American University, Washington College of Law in 2008.


Howard is admitted to practice law in the states of North Carolina and Maryland.


Howard enjoys spending his free time with his wife, Krystal, and is a Crossfit enthusiast. He has spent significant periods of time living and working in Ghana and Sierra Leone.
