Louis Spencer is a Member of Alexander Ricks PLLC.  He is a native of Beaufort, North Carolina.  Louis is a graduate of the University of North Carolina at Chapel Hill and Tulane University Law School.  Louis is licensed and practices in the state and federal courts of North Carolina, Louisiana, Texas and Florida.

Louis handles a wide variety of general business matters with an emphasis in complex business litigation, contract disputes, covenants not to compete, trade secret disputes, partnership disputes, debtor/creditor disputes and landlord/tenant disputes.  Louis works with both distressed companies, financial institutions and private equity in connection with out of court restructuring, debt collection, bankruptcy and related litigation.

Louis also provides counseling on a broad range of business transactions, including the formation, acquisition, operation, sale and liquidation of all types of business entities.  His emphasis is on closely held companies and he often serves as their outside general counsel providing counseling on their commercial transactions and response to business disputes.

At Tulane, Louis obtained a specialized certification in maritime law.  As part of his maritime practice, has represented shippers, carriers, freight forwarders, vessel owners and vessel financiers.  Louis handles matters involving vessel finance/documentation, shipping disputes, maritime personal injury/property damage, charter parties, insurance coverage disputes and all cases involving general maritime law jurisdiction.

  • Represented industrial equipment dealer in arbitration against manufacturer-supplier for improper termination of exclusive dealership agreement.
  • Represented perishable commodity processor and plant owner in federal jury trial against contractor for breach of contract, fraud and unfair & deceptive trade practices.
  • Represented logistics company with non-compete and non-solicitation agreements, including federal court action seeking injunctive relief, temporary restraining order and damages for theft of trade secrets.
  • Defended employer in federal court jury trial against employee claims for overtime and unpaid wages.
  • Represented private equity group with obtaining relief from bankruptcy stay, foreclosure of manufacturing facility collateral with environmental issues and sale of collateral to outside investor.
  • Represented composite fiber manufacturer with supplier agreement for wind power turbines.
  • Represented film producer in acquisition of screenplay rights and project finance/development.
